    b. Subscription / Retainer Services

Recurring services are billed on a monthly basis. Payment is due on the billing date specified in the Proposal or Invoice. If no date is specified, the billing date defaults to the date of first payment.

    c. Ad Spend

Any advertising budget (e.g., Google Ads, Meta Ads) is separate from the management fee and will be billed directly to the Client or invoiced as a pass-through. Mas Vashu Inc. does not guarantee specific advertising results.

If services require travel beyond a 25-mile radius of the Company's principal office, the Client agrees to reimburse reasonable travel expenses (mileage, lodging, meals) unless otherwise agreed upon.

Chargebacks: Clients agree not to initiate chargebacks or payment disputes with their bank or card issuer without first contacting Mas Vashu Inc. to resolve the matter. Unauthorized chargebacks may result in termination of services and collection action.

    6. Term and Renewal

    7. Refund Policy

Payments for services already rendered or in progress are non-refundable. If a project is canceled before work has begun, the Client may be eligible for a partial refund at the Company's discretion, less any administrative or planning costs incurred.

    8. Cancellation

Clients may cancel services at any time by providing written notice (email is acceptable). Cancellation is effective at the end of the current billing cycle, provided notice is given at least 14 days prior. Cancellation does not release Client from any outstanding balance.

    • Provide timely access to accounts, content, and feedback as needed for service delivery.
    • Respond to requests within 48 hours unless otherwise agreed upon.

Client grants Mas Vashu Inc. a non-exclusive, revocable license to use, modify, and distribute any content provided by Client solely for the purpose of delivering contracted services. Mas Vashu Inc. may repurpose or adapt Client-supplied content across marketing channels as part of its service delivery unless the Client provides written objection.

    10. ACH and Recurring Payment Authorization

By enrolling in ACH or recurring card payments, Client authorizes Mas Vashu Inc. to initiate electronic debits from the designated bank account or charge the card on file in the amount and frequency specified in the Proposal or Invoice. This authorization remains in effect until Client provides written cancellation notice at least 14 days before the next scheduled payment.

    12. Ownership

Upon full payment, the Client shall own the final deliverables produced specifically for them (e.g., logos, website code, ad copy). Mas Vashu Inc. retains ownership of all proprietary tools, templates, frameworks, processes, and pre-existing intellectual property used during service delivery. The Company also retains the right to use anonymized or aggregated performance data for benchmarking and internal improvement.

    13. Promotional Rights

Unless the Client opts out in writing, Mas Vashu Inc. may reference the Client's name, logo, and general project description in its portfolio, marketing materials, case studies, and social media. No confidential information will be disclosed without prior written consent.

    14. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary, financial, or business information exchanged during the course of the engagement. This obligation survives the termination of this Agreement.

    15. Limitation of Liability

In no event shall Mas Vashu Inc. be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, data, or business opportunity, arising out of or related to this Agreement. Mas Vashu Inc. may use generative artificial intelligence (AI) tools as part of its creative and strategic process, including but not limited to content drafting, image generation, data analysis, and ideation. All AI-generated outputs are reviewed, edited, and approved by the Company's team before delivery. Client acknowledges and agrees that the use of such tools is an acceptable component of the Company's workflow.

    18. Non-Exclusivity

This Agreement does not create an exclusive relationship. Mas Vashu Inc. reserves the right to provide services to other clients, including those in similar industries, unless a written exclusivity agreement is executed separately.

    19. Force Majeure

Neither party shall be held liable for delays or failure to perform due to causes beyond their reasonable control, including natural disasters, government actions, pandemics, internet outages, or platform changes by third-party providers (e.g., Google, Meta).

    20. Survival

Sections related to Confidentiality, Limitation of Liability, Non-Solicitation, Ownership, and Governing Law shall survive the expiration or termination of this Agreement.

    21. Governing Law and Dispute Resolution
